JointVentureAgreement

NOW,THEREFORE,inconsiderationofthemutualcovenantssetforthherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.FormationofJointVenture

1.1Thepartiesherebyagreetoformajointventure(theJointVenture)forthepurposeof[DescribethePurposeoftheJVBusiness].

1.2TheJointVentureshallbeknownas[JointVentureName].

1.3ThedurationoftheJointVentureshallbe[Term].

2.OwnershipandCapitalContribution

2.1EachpartyshallcontributetotheJointVentureasfollows:
