毕业论文 （2010届） 浙江民营企业海外直接投资的必要性与可行性分析——基于海外并购的研究 摘 要 本文以宁波市民营企业海外投资的总体情况、个别案例与数据为研究材料，对宁波民营企业海外并购的现状、必要性和可行性及其存在的问题进行研究，主要运用经验研究、理论分析、案例分析的研究方法。 本文认为：宁波民营企业已具备一定跨国并购的能力，但并购过程中仍然存在各种障碍因素，企业自身及政府、商会都应努力克服这些障碍，以推动企业的跨国并购。譬如政府应该进一步完善海外直接投资的政策促进体系：放宽审批权限，简化审批程序，鼓励企业开展技术创新，增强核心技术；行业协会及商会则应该完善对外投资信息和咨询服务，为企业提供必要的信息；企业自身则要合理定位，明确发展思路，增强企业软实力。 关键词：Abstract This paper studies the Private enterprises’ general situation of overseas investment of Ningbo city,with relative data and representative cases,and makes an analysis on the necessity and feasibility to mergers and acquisitions on foreign countries for these enterprises.The author uses inclusive of empirical study,theoretic study,case study to help her to carry out research . The final conclusions are Ningbo private enterprises have the ability to have a certain cross-border overseas mergers and acquisitions,but there are still a variety of overseas mergers and acquisition process barriers.Their own and the government,chambers of commerce should be efforts to overcome these obstacles,to promote cross-border mergers and acquisitions of enterprises.For example, The government should improve the foreign direct investment policy promotion ststem in the future,widen the approval authority,streamline the approval process and encourage enterprises to carry out technical innovation and enhance the core technology.In the eyes of Chamber of Commerce,they should improve the foreign investment information and advisory services to providing the necessary information for the enterprise.Their own must have a reasonable position and a clear development of ideas,enhance their soft power.
