内蒙古财经大学本科毕业论文 中小企业联合上市发行可转债 ——集合通 学生姓名 学 院 金融学院 专 业 金融工程 年 级 09级 指导教师 杨 瑞 成 教师职称 教 授 摘要 我国经济发展到目前，中小企业已经成为不可忽视的中间力量，但是当前中小企业的发展是机遇与危机同在，中小企业有巨大的成长潜力，但融资环境困难，上市门槛较高。且面对我国复杂的投资环境，投资者更愿意投资于风险与收益更加均衡的产品。 我们产品的构想是：3—5个有长期业务合作关系，具有高成长的中小企业，通过资产整合，股份制改革，以联合参股的形式在证券交易所上市。以联合后的公司的所有股东中持股最多的股东作为最大的股东，任联合企业的董事会主席。上市后发行可转债进一步募集资金。公司成长阶段，规定以递增的利息按月支付股民利息，当公司渐渐的成长，发展壮大，股票市值增加，股民可以选择以一定的转换价格、转换比例将债券转换成股票，享受公司的经营成果，获得较高的收益，也可以放弃转股一直到债券到期，取得稳定的保本收益。 关键词：联合上市 可转换债券 转换价格 投资收益 Abstract To economic development in our country at present, small and medium-sized enterprise has become can not be ignored in the middle of the power, but the current small and medium-sized enterprises development is an opportunity with crisis, small and medium-sized enterprises with huge growth potential, but the financing environment is difficult, listed higher threshold. And in the face of complex investment environment in China, investors are more willing to invest in more balanced product risks and benefits. Our products idea is: 3-5 small and medium-sized enterprises that has a long-term business relationship, has a fast-growing, integrate their assets, joint stock system reform, in the form of joint participation in the stock exchange. With united after all of the shareholders in the company, the largest shareholder who holds the most shareholders, is elected as a joint venture of the chairman of the board. Enterprises listed after issuing convertible bonds to raise money further .Growth stage, the company rules with increasing interest is paid monthly to shareholder, when the company gradually grow and develop, the increasing in stock value, investors can choose to transform, transform ratio is to convert the bond to stock price, enjoy the companys operating results, higher yields, also can give up turn until the bond matures, break-even yield stability.
