摘  要  公司监督机制是现代公司的重要组成部分，其作用的发挥与否对保证公司正 常运转，保护公司股东、债权人及利益相关者合法权益有着非常重要的意义。我 国《公司法》确立了以监事会为主要监督主体的公司内部监督模式，但公司监事 会整体失效己是不争事实。为了改变这一现状，2005 年 10 月 27 日，十届全 国人大常委会第十八次会议通过了新《公司法》，一改往日监事会的“柔弱”形 象，扩张了监事会的职权，强化了监督手段，使我国公司监事会制度的建设上了 一个新台阶。但是，与国外先进制度相比较，我国监事会制度仍然存在抽象性和 针对性不强等缺陷，如何使监事会制度在立法上完善，仍然是我国公司法学界需 要着力研究解决的重要课题。 全文共分四章，第 1 章“监事会制度产生及理论基础”，从监事会制度产生 及基本原理角度着手，揭示出我国公司监事会制度有很深的分权制衡理论的烙 印，在构建我国公司监事会制度时，应以分权制衡理论为基础。第 2 章“我国公 司监事会制度的立法及缺失”，对我国《公司法》监事会制度运行状况及缺失的 分析，表明我国公司监事会制度在公司治理中已虚化，其直接原因是监事会制度 在立法上存在先天缺陷，应通过立法完善，强化监事会的监督权力。第 3 章“国 外监事会制度的立法及借鉴”，分析了英美法系“一元制监督模式”和大陆法系 “二元制监督模式”的架构、背景、特征及利弊，得出我国监事会制度不管作出 何种选择，都不能脱离我国公司治理结构的现实基础，特别是我国公司股权结构 的基本特征。第 4 章“完善监事会制度的立法建议”，综合以上研究，结合自己 的工作实践，得出我国监事会制度不应是简单的废止，而是应该通过立法进行完 善，并提出了一整套完善我国公司监事会制度的立法建议，以期对完善我国公司 监事会制度有所裨益。 关键词：公司；公司治理；公司法；监事会 I Abstract As one of the important parts of the modern corporation, the Supervision mechanism is very important to corporation oprating, protecting the legitimate rights and interests of shareholders, Creditor and stakeholders. Comparing to foreign advanced system, Chinas system of the board of supervisors has the missing as abstract, and so on. How to improve the legislative system is still the important issues of China jurisprudence. This paper including four chapters. Chapter 1 treats the produce and theory foundation of the Board of supervisors system. Reveals that the board of supervisors system of our country corporation has a mark from the theory of separation of powers. We should put the theory of separation of powers as the foundation of the board of upervisors system. Chapter 2 treats the legislation and missing of the board of supervisors system. By an analysis, found that the board of supervisors system was empty on the corporation govern, the direct reason is the congenital missing in legislation of the board of supervisors system.
