摘要 融资结构是公司治理的基础，对于现代公司的重要性，不仅体现在融资成本与公司的市场价值方面，更重要的是其影响着公司的经理、股东和债权人之间的契约关系，即影响着公司治理结构。股权融资和债权融资均对企业形成控制权，两者有着不同的控制权形式，共同构成了公司治理结构，本文从融资结构的不同选择入手，把融资结构的安排引入公司治理结构优化之中。本文探讨了上市公司融资结构与治理结构的内在辩证关系，运用企业生命周期理论来分析不同阶段的融资结构选择及对治理结构的影响，在此基础上分别从股权和债权两方面来分析治理结构，进而根据我国上市公司的实际情况和内在要求，提出调整股权和债权结构优化治理结构的途径。 关键词：上市公司，治理结构，融资问题，研究； Abstract Financing structure is the foundation of the corporate governance, for the modern company s importance, not only reflected in the financing cost and market value of the company, more important is its impact with the manager of the company, shareholders and creditors of the contractual relationship, which affects the corporate governance structure. Equity financing and debt financing of enterprises to form control, both having different control right form, together constitute the companys governance structure, this article from the different choices of financing structure, financing structure arrangement is introduced into the optimization of corporate governance structure. This paper discusses the financing structure of listed companies and corporate governance internal relationship, using the enterprise life cycle theory to analyze the different stages of the financing structure and governance structure, according to equity and creditors rights two aspects to analyze the governance structure of Listed Companies in China, and according to the actual situation and requirement, put forward the adjustment of ownership and creditors right structure governance structure approach.
