教育独家代理英文合同 篇一：独家代理协议中英文 EXCLUSIVE AGENCY AGREEMENT 独家代理协议 本协议于2015年11月23日在中国上海由有关双方在平等互利基础上达成， 按双方同意的下列条件发展业务关系： This agreement is made and entered into by and between the parties concerned on Dec.23th ,2015 in Shanghai, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow: 1. 协议双方 The Parties Concerned 甲方： 地址： 电话： 传真： Party A: Add: Tel: Fax: 乙方： 地址： 电话： 传真： Party B: Add: Tel: Fax: 2. 委任 Appointment 甲方指定乙方为其独家代理，为第三条所列商品从第四条所列区域的顾客中招 揽订单，乙方接受上述委任。 Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment. 3. 代理商义务 Agents Duty 代理商应严格遵守卖方随时给予的任何指令，而且不得代表卖方作出任何担 保、承诺以及订立契约、合同或作其他对卖方有约束力的行为。对于代理商 违反卖方指令或超出指令范围所用的一切作为或不作为，卖方都将不承担任 何责任。 Agent shall strictly conform with any and all instructions given by Seller to Agent from time to time and shall not make any representation, warranty, promise, contract, agreement or do any other act binding Seller.
