民用航空企业机场联合重组改制管理规定（Provisions on the joint reorganization and restructuring of civil aviation enterprises and airports） Provisions on the joint reorganization and restructuring of civil aviation enterprises and airports (promulgated by order No. 149th of the General Administration of civil aviation of China in July 20, 2005 and effective as of August 20, 2005) Chapter I General Provisions Article 1 in order to regulate the civil aviation enterprises, airport joint restructuring, to ensure safe production and safe flight, promote the establishment of a fair and orderly market competition and prevent monopoly and vicious competition, and safeguard national enterprises, the airport and the legitimate rights and interests of consumers, according to the Peoples Republic of China administrative licensing law, State Council on the necessary administrative the approval of the project administrative licensing decision in the setting of civil aviation enterprises and airport joint reorganization, restructuring and equity, project examination and approval regulations and other relevant laws and regulations, the enactment of this provision. Article second these Provisions apply to civil aviation enterprises, airports (hereinafter referred to as civil aviation enterprises) of the following joint restructuring, restructuring behavior: (1) merger means the merger of two or more civil aviation enterprises with independent legal personality into one enterprise (two enterprises). (two) equity participation refers to the participation of two or more civil aviation enterprises with independent legal personality in investment, joint stock and non civil aviation enterprises to invest in the civil aviation enterprises in two. (three) the company system reform means that the civil aviation enterprise with independent legal personality and sole investment entity has been reformed into a limited liability company or a Limited by Share Ltd.
