论我国集团公司跨国并购存在的主要风险及控制 [摘要] 自加入WTO以来，我国综合国力迅速提升，随着经济全球化进程的加快和我国集团公司规模的不断壮大，国内具有资本实力的大中型集团公司走出国门参与全球化的国际竞争，中国企业运行环境与全球化经济活动密切联系起来，我国越来越多的集团公司开始将跨国并购作为对外直接投资、实施全球化战略、快速积累资本、占有资源、扩张开拓国际市场的新策略。但目前我国集团公司国际化战略的准备不充分，加上对于跨国并购的理解研究与参与程度的不够，导致我国集团公司在跨国并购活动中，存在并面对着很多风险，致使跨国并购活动的不顺利进行。这要求我们更加深入的研究我国集团公司跨国并购理论，从而指导我国集团公司的国际化经营、全面与世界接轨、参与世界竞争。本文是结合案例研究近年来企业跨国并购的现状，分析我国企业跨国并购的存在的风险及原因，针对问题结合相关典型案例加以分析，并提出防范解决集团公司跨国并购中存在风险的策略。 [关键词] 跨国并购 风险 控制 The main risk of cross-border mergers and acquisitions of our group companies and control [Abstract] Since its accession to the WTO, Chinas comprehensive national strength has rapidly improved, with the accelerated process of economic globalization and the size of the group company in China continue to grow, domestic large and medium-sized group company with the capital strength to go abroad to participate in the international competition of globalization, Chinese enterprises operating environment close contact with the globalization of economic activity, a growing number of group companies began to cross-border mergers and acquisitions as foreign direct investment, the implementation of globalization strategy, the rapid accumulation of capital, the share of resources, expansion of the new strategy to explore the international market.
