论文编号： STY公司合规管理体系研究 中国政法大学研究生院 二○一六年十月 STY公司合规管理体系研究 摘 要 中国企业面对日益完善的国内监管以及中国经济逐步融入世界经济的现实，面对国际上企业合规经营的大环境和具有完善合规管理体制的跨国竞争对手、合作伙伴，想要在激烈的竞争和市场经济中取胜，合规经营无疑已成为中国企业的必然选择。 合规，简单来说是指符合规定。企业合规管理是企业为了防范合规风险、实现合规管理目标而进行的一系列管理活动，是企业有意识地进行的组织、协调活动，确保企业的各项业务行为符合外部法律监管以及内部各项规章制度的要求，并形成合规文化的过程。合规管理体系应是涵盖合规管理组织、合规管理政策、合规监督管理和合规文化等方面的管理系统。合规文化潜移默化地影响着企业的经营及业务行为，良好的企业合规文化促使员工自觉遵守合规制度，是企业的核心竞争力。 STY公司作为一家中外合资公司，受到外资公司股东合规管理文化的影响，公司逐步引入了合规管理理念，并颁布实施了一些合规管理政策，开启了公司合规管理的篇章。但由于合规管理刚刚起步，公司合规管理存在一些问题需要解决。 本文通过对STY公司合规管理的研究以及问题的分析，得出STY公司应从提高管理层对合规管理的重视、选聘合规负责人、完善合规管理制度及管理机制和加强有效的合规培训四个方面着手解决公司合规管理存在的问题。同时重点对公司合规管理体系的建立及完善过程进行分析论证，进而得出企业应从建立合规管理组织、完善合规管理政策、建立合规风险管理、监督管理与考核激励管理五个方面完善公司合规管理体系，并通过公司对合规文化的持续传递、培养和提高员工对合规认识，从而逐步形成公司的合规文化。 关键词： 合规 合规管理体系 合规文化 Abstract China enterprises face the increasingly sophisticated domestic regulatory and economic China gradually integrated into the world economy in the face of reality, the international enterprise compliance management environment and has perfect compliance management system of multinational competitors, partners, want to win in the fierce competition and in the market economy, compliance management has undoubtedly become the inevitable choice of Chinese enterprises.
