AbstractTheprudentialcarve-outinAnnexofFinancialServiceofGATSisaspecialclause,fortheaimoftheclauseistobalancetheglobalfinancialserviceliberalizationandthedomesticregulationautonomyofWTOmembers.However,thefinancialserviceistoosensitivetocarryforward.Mostdevelopingcountrymembersworriedaboutoncetheyacceptedtheconditionsproposedbyindustrializedcountrymembers, thestabilityoftheirnationalfinancialmarketswouldbedangerous.Inresult,theprudentialcarve-outinGATSgoesbeyondthegeneralobligationsandthecommitmentstakenbymembers.Theclausemaybeusedasthebarriertofinancialservicetrade.ItviolatestheWTOpurposeaswellasthestabilityof national financialmarkets.After therecenteconomiccrisis,there areplentiful ofnewsoftlawsoftheprudentialregulationmadebyinternationalorganizationssuchasBaselCommittee.Onthisbackground,itistimetorethinktheprudentialcarve-outinGATS.Thisthesisanalysestheprudentialcarve-outinaproblem-solvingmanner,andfallsintofivesections:Thefirstsectionisdividedintothreeparts.Atthebeginning,thenegotiationprocessoftheprudentialcarve-outisstudiedinthehistoricalanalysisway,revealinghowtheprudentialcarve-outclauseformed.Then,itdiscussesthefinaltextoftheclausetoillustratethelegalcontextoftheprudentialcarve-out. Atlast,fortheaboveresearch,thesectionelaboratesthetwoproblemsoftheprudentialcarve-outclause.ThesecondsectiontriestofindthesolutiontothetwoproblemsinGATS.Firstly,thethesiscombsthesubstantialprovisionsinGATS,suchasdomesticregulation,generalexception,marketaccessandpayment,thenitconcludesthatthereislittleeffectfortheseprovisionstotheprudentialcarve-out;secondly,theanalysisangleturnstothedueprocessprovisions,includingtherecognitionprovisionsbothinAnnexofFinancial Service andGATS.Theanalysiscombinesthestudyofsoftlawmadebyinternationalfinancialorganizationsandtheprobabilityofusingthesoftlaw.Thesectionassessesthetextanalysismethod.Thethirdsectionexaminestheprudentialcarve-outintheregionaltradeagreementsleadedbytheUnitedStatesandEuropeanUnion.Throughthetextanalysisandtheempiricalanalys
