AbstractThelatestreformofcorporationlegalsystemcoversmainlyregisteredcapital system,registrationsystem,annualinspectionsystem,companyintegritysystem,etc. Overall,theconditionofcorporation’sentranceintothemarkethasexperiencedaprocessof stricttoloose,whichnotonlygoeswiththetrendofthemarketeconomy,butalsomeetsthe requirement ofthemainmarket players.Theconstantdevelopmentofcompanycannotlivewithoutthegovernmentsupport,and alsotheprotectionoflaw.TheamendmentofcompanylawinDec,2013confirmtheresultsof company systemreformastheprovisionoflaw.However,themeasuresinaccordance,suchas theriskpreventionsystem, havenot beenimplementedin time.Underthis condition,the permissionofcompany’sentranceintothemarketisreduced,whiletheriskofcredit,finance andoperationareincreased.Basedonthecurrentsituationofthecompany’sdevelopmentin China,wehaveborrowedthesuccessfulexperienceofcompanylawabroad.Withthe improvementofthesystemofcreditregulation,financialsupervisionandinternal management,weareaimingtobuildupcompany’sriskpreventionsystemafterthereduction of thecondition of corporation’s entranceinto themarket.Except forintroduction and conclusion, the papercan bedivided into fourmajorparts:Thefirstpartisabouttheeconomicandlegalfoundationofriskpreventionaboutthe companyreducingmarketaccessconditions.Thispartelaboratesthetheoreticalfoundationof thecompanyreducingmarketaccessconditions,fromtheeconomictheorywhichincludes supply-demandtheory,cost-benefittheory,thecompanycredittheory,tothelegaltheory whichincludesfairnessandjusticetheory,companycontracttheoryandstakeholdertheory.
