河南理工大学万方科技学院2014届本科生毕业论文（设计） PAGE \* MERGEFORMAT 1 PAGE \* MERGEFORMAT 1 资本结构优化与企业价值最大化 摘 要 随着经济高度发展以及现代企业制度的建立，企业之间的竞争越来越激烈。在竞争中，企业的财务目标发生了变化，由原来追求利润最大化转变为追求企业价值最大化。市场竞争的愈演愈烈以及全球金融危机的影响，给我国企业的发展带来了严峻的压力和挑战，企业受资本结构的制约面临着财务风险。企业要想在竞激烈的市场中得以生存，需要加强企业资本结构问题理论与实证研究，提高企业的竞争力，围绕企业价值最大化达到企业资本结构优化。 资本结构优化是企业的筹资目标，企业价值最大化是企业的整个财务目标，如何把这两个目标有机结合起来，是企业财务管理的重大课题。资本结构理论是现代企业财务管理理论的核心内容，是企业进行融资决策的理论基础。对企业资本结构和企业价值的研究，有利于企业树立正确的融资观，形成合理的资本结构，促进企业的长远发展，进一步丰富和拓展资本结构理论，推动财务管理理论和整个企业管理理论的发展。最终实现企业价值最大化这一财务目标，这对于企业今后的健康发展有着重大现实意义。 本文在总结归纳了国内外资本结构理论研究成果的基础上，运用文献分析法、理论分析法和案例分析法进行研究，搜集大量文献资料，全面对我国企业的资本结构现状以及存在的问题进行分析，围绕企业价值最大化，达到资本结构优化过程，提出优化企业资本结构实现企业价值最大化相关策略，以求论文更具有说服力。在理论基础上，资本结构需要通过财务杠杆效应、资产负债率、传递信号等手段来提升企业价值，认真分析企业资本结构影响因素，通过资本结构优化手段最终实现企业价值最大化。最后，结合我国实际情况提出相应对策。运用案例分析法，以四川长虹作为案例，分析以四川长虹为代表的我国企业资本结构存在的问题，并在深入分析了其资本结构存在的问题后，得出相应的结论。 关键词：财务管理目标 资本结构优化 筹资 企业价值最大化 Abstract With highly developed economy and the establishment of modern enterprise system, the competition between enterprises is increasingly fierce.
