PAGE PAGE 13 毕业论文（设计） 题 目 跨国并购的发展及其对东道国的影响 姓 名 李枭 学 号 0725130244 专业年级 07国际经济与贸易专（2）班 指导教师 张艳 职 称 讲 师 20 摘要 跨国并购作为世界各国对外直接投资的方式之一，成为跨国公司实施全球经营战略的一种重要方式。随着全球跨国并购的第五次浪潮的兴起，也伴随着中国经济的崛起，大量的中国企业走出国门，融入全球市场，进行跨国并购。但跨国并购一方面会给本国企业带来积极的作用，可以更好地运用跨国并购的优势来发展和壮大自己的企业，保持民族产业的相对独立性。另一方面，跨国并购也会带来消极的影响，跨国并购会抑制东道国国内企业家要素的积累和成长，会导致本国企业在国际分工中的依赖性，也可能会削弱国家宏观调控力度。本文跨国并购理论的回顾，分析讨论跨国并购的概念和发展历程，并总结跨国并购的动机，并对跨国并购对东道国企业的积极效应与消极效应进行分析，最后提出我国政府及企业的应对措施，希望对中国企业跨国并购有所借鉴。 关键词：跨国并购；东道国；积极作用；消极作用 ABSTRACT Cross-border M As of foreign direct investment countries in the world one way, a multinational implementation of the global business strategy, an important way.
