业主大会瑕疵决议法律问题研究.pdf

摘 要 业主通过参加业主大会，形成业主大会决议之方式管理自身居住环境，决定 自己生活方式。但现实中由业主大会作出的决议并不总是完美的，如决议有可能 会在形成程序上存在瑕疵。而当前我国有关业主大会瑕疵决议的规定存在着许多 不足之处。为防止业主大会瑕疵决议损害业主的合法利益，业主大会瑕疵决议规 则的完善十分重要。因此本文将围绕业主大会瑕疵决议的法律问题进行讨论。全 文共分为四章： 第一章是业主大会瑕疵决议的概述。主要研究了业主大会瑕疵决议的概念、 性质、分类及业主大会瑕疵决议效力的认定思路等基本问题。 第二章是我国有关业主大会瑕疵决议的制度现状和问题。文章通过梳理我国 有关业主大会瑕疵决议的立法现状，指出我国立法在对业主大会决议不成立、可 撤销、无效事由的规定上存在缺失或不完善之处。 第三章是对业主大会决议因瑕疵而不成立的认定分析。在厘清业主大会决议 不成立、可撤销与无效之间的区别的基础上，进一步分析了导致业主大会决议不 成立的事由。本文认为业主大会决议不成立的事由应为决议存在严重的程序瑕 疵，主要包括业主大会未召开、未对决议事项进行表决、出席会议人数或参会业 主所持表决权不符规定、会议表决结果未达法律或业主约定的通过比例等情形。 第四章是对业主大会瑕疵决议的可撤销和无效事由的认定分析。本文认为业 主大会决议可撤销的事由主要有业主大会在召集、召开、表决程序中存瑕疵、决 议违反管理规约等，但决议存在轻微瑕疵不属于可撤销情形。对于业主大会决议 的无效事由，本文认为主要是决议内容违反法律、行政法规的强制性规定或公序 良俗之情形。 关键词业主大会；瑕疵决议；不成立；可撤销；无效 I ABSTRACT Theownersmanagetheirlivingenvironmentanddecidetheirownwayof lifebyattendingtheownersmeetingandformingaresolutionoftheowners meeting.
