摘 要 上市公司再融资行为，是证券市场资源系统配置的重要方式之一，是上市企业经过在资本市场直接筹集的资金，推动公司的新项目进展，使融资功能长期有效地发挥作用。随着我国证券交易市场的发展，中国的上市公司已经慢慢的出现了融资需求，特别是在再融资市场上，公司利用制度缝隙，其中一些恶性的蓄意再融资行径得以幸存。上市公司普遍有循环资金的冲动，由于优先考虑股权融资进行再融资，出现了大股东占用资金、任意改变资金投资以及募集资金富裕等现象。这些现象非常严重的改变了上市公司的融资功能，很大程度上的减小了资源配置和资金使用的效率。 本篇文章通过对我国上市公司、企业再融资行为的现状和相关真实案例证明的对比分析，与我国上市公司的实际情况结合在一起，系统全面地分析了我国上市公司再融资行为的问题及原因。提出进一步的政策建议和意见。 通过对我国上市公司再融资行为的深入细致地钻研，可以使企业融资行为合乎道德法律规范，改进企业管理操作方法，扩大企业所具有的格局，进一步优化改良企业治理结构，推动国有企业技术改革，促进民营企业的良好发展，更有效地促进整体。社会资源配置和经济效益，还可以利用资金流不断拓展其项目。 关键词：上市公司；再融资；配股；增发新股；可转换债券  ABSTRACT The refinancing behavior of listed companies is one of the important ways to allocate the resources system in the securities market. It is through the funds raised directly in the capital market that the listed companies promote the progress of the companys new projects and make the financing function play an effective role in the long term. With the development of Chinas stock exchange market, Chinese listed companies have slowly emerged financing needs, especially in the refinancing market, and some of these vicious intentional refinancing practices have survived. Due to the priority of equity financing for refinancing, listed companies generally have the impulse to recycle funds, and there are phenomena such as large shareholders occupying funds, arbitrarily changing capital investment, and raising funds to become wealthy. These phenomena have greatly changed the financing function of listed companies and greatly reduced the efficiency of resource allocation and capital use.
