投资合作框架协议 Framework Agreement on Investment Cooperation 甲方： 市政府或其指定平台公司 法定代表人： 住所： 乙方： 法定代表人： 住所： Party A: Legal Representative: Venue: Party B: City government or its designated platform company Legal Representative: Venue: 鉴于： Whereas: 1.为了积极推动 市当地产业的发展，甲方拟与乙方合作，在 市共同发起设立一支以其他私募股权/创业投资基金为主要投资范围的母基金（以下简称“母基金”）。 In order to actively promote the development of the local related industry in City, Party A intends to cooperate with Party B to initiate and establish a mother fund (hereinafter referred to as the Mother Fund) in City with other private equity/venture capital funds as the main investment scope. 2.甲方有意参与和推进母基金的设立，并有能力提供当地优惠政策、人才和融资服务，整合各项资源；乙方将为母基金的设立、募集及管理提供全方位专业支持。 Party A intends to participate in and facilitate the establishment of the Mother Fund, and has the capability to provide local preferential policies, talents and financing services and integrate various resources.
