Whereas:

1.PartyAistheownerofcertaintechnology,know-how,patents,trademarks,copyrightsorotherintellectualpropertyrights(hereinafterreferredtoasTechnology)relatedto[describethetechnologyindetail].

2.PartyBisdesirousofacquiringtheTechnologyfromPartyAforthepurposeof[describethepurposeofacquiringtheTechnology].

3.PartyAiswillingtotransfertheTechnologytoPartyBonthetermsandconditionssetforthherein.

Now,therefore,inconsiderationofthepremisesandmutualcovenantscontainedherein,thepartiesheretoagreeasfollows:

1.TransferofTechnology:PartyAherebyagreestotransfer,assignandconveytoPartyBallrights,titleandinterestinandtotheTechnology,includingallpatents,trademarks,copyrightsandotherintellectualpropertyrightsrelatedthereto.

2.Consideration:InconsiderationforthetransferoftheTechnology,PartyBagreestopayPartyAthesumof[amount]astheconsiderationfortheTechnologytransfer.

3.License:PartyAherebygrantsPartyBanon-exclusive,non-transferablelicensetousetheTechnologyforthepurposeof[describethepurposeofusingtheTechnology].
