2023UK-ChinaCustomerTradingAgreement

Introduction:

ThisCustomerTradingAgreement(Agreement)isenteredintobyandbetweentheUnitedKingdomcustomerandtheChinesecustomeron[date],2023.ThisAgreementaimstoestablishthetermsandconditionsofbuyingandsellinggoodsandservicesbetweenthetwoparties.

1.Definitions:

1.1UKCustomerreferstotheindividualorentityresidingintheUnitedKingdomwhoispurchasinggoodsorservices.

1.2ChineseCustomerreferstotheindividualorentityresidinginChinawhoissellinggoodsorservices.

1.3Goodsreferstothetangibleproductsbeingtradedbetweenthetwoparties.

1.4Servicesreferstotheintangibleservicesbeingtradedbetweenthetwoparties.

2.TermsofTrade:

2.1TheUKCustomeragreestopurchasetheGoodsand/orServicesfromtheChineseCustomeraccordingtotheagreed-uponpricesandquantities.

2.2TheChineseCustomeragreestodelivertheGoodsand/orServicestotheUKCustomerinatimelymannerandinaccordancewiththequalitystandardsspecified.

2.3Paymenttermswillbeagreeduponbybothpartiesbeforethecommencementofthetradetransaction.Paymentcanbemadeinacurrencythatismutuallyacceptabletobothparties.

2.4AnydisputearisingfromthisAgreementshallberesolvedamicablythroughnegotiationsbetweentheparties.Ifaresolutioncannotbereached,thepartiesagreetoseekarbitrationinaccordancewiththelawsoftheUKandChina.

3.IntellectualPropertyRights:

3.1TheChineseCustomerwarrantsthattheGoodsand/orServicesbeingprovideddonotinfringeuponanyintellectualpropertyrightsofthirdparties.

3.2TheUKCustomeragreestorespecttheintellectualpropertyrightsoftheChineseCustomerandwillnotreproduce,distribute,orselltheGoodsand/orServiceswithoutproperauthorization.
