ThisInternationalSalesAgencyAgreement(theAgreement)ismadeandenteredintoon[Date],byandbetween:

-hereinafterreferredtoasthePrincipal;

[SalesAgencyName],acompanyincorporatedunderthelawsof[Country],withitsregisteredofficelocatedat[Address],representedby[Name],intheircapacityas[Title].
-hereinafterreferredtoastheSalesAgent;
WHEREAS,thePrincipalisengagedinthebusinessof[DescribeBusinessActivities],andwishestoappointtheSalesAgentasitsexclusiveagentforthesaleofitsproductsincertainterritories;
ANDWHEREAS,theSalesAgenthasthenecessaryexperienceandresourcestoeffectivelypromoteandsellthePrincipalsproductsinthedesignatedterritories;
NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,thePartiesagreeasfollows:
1.Appointment:ThePrincipalherebyappointstheSalesAgentasitsexclusiveagentforthesaleof[DescriptionofProducts]intheterritoriesof[DesignatedTerritories].TheSalesAgentagreestouseitsbesteffortstopromoteandsellthePrincipalsproductsinthedesignatedterritories.
2.DutiesoftheSalesAgent:TheSalesAgentshallundertakethefollowingduties:
-MarketandpromotethePrincipalsproductsinthedesignatedterritories.
-AttendtradeshowsandconferencestoshowcasethePrincipalsproducts.
-ProvidefeedbacktothePrincipalonmarkettrendsandcustomerpreferences.
-MaintainasalespipelineandreportsalesactivitiestothePrincipalregularly.
3.Commission:TheSalesAgentshallbeentitledtoacommissionof[CommissionPercentage]onthenetsalesofthePrincipalsproductsgeneratedinthedesignatedterritor
