ThisCompanyIntercreditorAgreement(theAgreement)isenteredintoasof[Date]byandbetween[CompanyA],a[State]corporationwithitsprincipalplaceofbusinessat[Address](CompanyA),and[CompanyB],a[State]corporationwithitsprincipalplaceofbusinessat[Address](CompanyB).
Whereas,CompanyAandCompanyBarecreditorsof[CompanyC],a[State]corporationwithitsprincipalplaceofbusinessat[Address](Debtor);
Whereas,CompanyAandCompanyBdesiretosetforththeirrespectiverightsandobligationswithrespecttotheirdebtpositionsinDebtor;
Now,therefore,inconsiderationofthemutualcovenantscontainedherein,thepartiesagreeasfollows:
1.Definitions
ForpurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:
-Debtorshallmean[CompanyC].
-DebtshallmeanthedebtowedbyDebtortoCompanyAandCompanyB,respectively,assetforthintherelevantloanagreements.
-SeniorDebtshallmeanthedebtowedtoCompanyA.
-JuniorDebtshallmeanthedebtowedtoCompanyB.
-IntercreditorAgreementshallmeanthisAgreement.
2.IntercreditorArrangement
(a)CompanyAandCompanyBagreethattheSeniorDebtshallhavepriorityovertheJuniorDebtintheeventofanyliquidation,insolvency,orreorganizationofDebtor.
(b)CompanyAandCompanyBagreethatanypaymentsreceivedfromDebtorinrespectoftheDebtshallbeappliedfirsttotheSeniorDebtuntilitispaidinfull,andthentotheJuniorDebt.
(c)CompanyAandCompanyBagreetocooperateandactingoodfaithwitheachotherinallmattersrelatingtotheDebt,includingenforcementactionsagainstDebtor.
3.TransferofDebt
(a)CompanyAandCompanyBagreethatneitherpartyshalltransfer,sell,assign,orotherwisedisposeofitsDebtwithoutthepriorwrittenconsentoftheotherparty.
