boilerinstallationcontract(hereinafterreferredtoasthiscontract)ismadeandenteredintoonthisdate(hereinafterreferredtoastheeffectivedate)between:

(hereinafterreferredtoasclient)

eachapartyandcollectivelyasparties.

1.scopeofwork

1.1thecontractorshallinstallone(1)boilerattheclientspremises,asshownontheattacheddrawing(theboiler).

2.priceandpayment

2.1thepricefortheinstallationoftheboilershallbeassetforthintheattachedquotation(thequotation).

2.3theclientshallmakeallpaymentsdueunderthiscontractcheckorelectronictransfer,inaccordancewiththepaymentinstructionsprovidedthecontractor.

3.warranty

3.2duringthewarrantyperiod,thecontractorshall,atitssolediscretion,eitherrepairorreplaceanypartoftheboilerthatisfoundtobedefective,atnoadditionalcosttotheclient.

3.3thecontractorsobligationsunderthissectionshallbelimitedtotherepairorreplacementoftheboilerassetforthinthissection,andthecontractorshallhavenootherobligationsorliabilityunderthiscontract.

4.indemnification

4.1thecontractorshallindemnifyandholdharmlesstheclientfromandagainstanyandallclaims,demands,suits,actions,losses,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneysfees)arisingoutoforinconnectionwiththeinstallationoftheboiler(theclaims).

4.2thecontractorshallhavetherighttoassumethedefenseofanyclaim,andtheclientshallhavetherighttoparticipateinthedefenseofanyclaimatitsownexpense.

4.3thecontractorsobligationsunderthissectionshallsurvivetheexpirationorterminationofthiscontract.
