1.Definitions
1.1SoftwareServicesmeanstheservicestobeprovidedProvidertoClientasdescribedinExhibitAattachedhereto.
SoftwareServices:TheservicesprovidedtheProvidertotheClient,includingsoftwaredevelopment,mntenance,support,andotherrelatedservices.
1.2Softwaremeansthesoftwareapplication(s)developed,mntned,orprovidedProviderforClientsuseunderthisAgreement.
Software:Asetofinstructionsorprogramsdesignedtoperformspecifictasksonaputersystem.
1.3ConfidentialInformationmeansanydataorinformation,oralorwritten,disclosedeitherpartytotheotherthatisdesignatedasConfidential,Proprietary,orsomesimilardesignation.
ConfidentialInformation:Informationthatisnotpubliclyknownandismarkedasconfidentialorproprietarythedisclosingparty.
1.4EffectiveDatemeansthedateonwhichthisAgreementisexecutedbothparties.
EffectiveDate:ThedatewhentheAgreementbeeslegallybindingandenforceable.
2.Services
2.1ProvideragreestoprovidetheSoftwareServicestoClientinaccordancewiththespecificationsandrequirementssetforthinExhibitA.
2.2ProviderwillusereasonablemercialeffortstoensurethattheSoftwareServicesareperformedinaprofessionalandworkmanlikemanner.
2.3ProviderwillprovideClientwithaccesstotheSoftwareandanyupdates
