thisproductprocurementframeworkagreement(hereinafterreferredtoasthisagreement)isenteredintoonthedatehereinafterreferredtoandbetween:

a.supplierisengagedinthebusinessofmanufacturingandsupplyingvariousproducts(hereinafterreferredtoasproducts)tocustomers;

b.customerdesirestopurchasefromsuppliercertainproductsforitsownuseorforresale,andsupplieriswillingtosellsuchproductstocustomer;and

c.thepartieswishtoestablishthetermsandconditionsuponwhichtheproductswillbepurchasedandsold.

now,therefore,inconsiderationofthemutualpromisescontainedherein,thepartiesagreeasfollows:

article1:definitionsandinterpretations

1.1definitions

inthisagreement,unlessthecontextotherwiserequires:

agreementmeansthisproductprocurementframeworkagreement,includingallschedules,annexesandexhibitshereto,asthesamemaybeamended,supplementedorotherwisemodifiedfromtimetotime;

productsmeanstheproductsdescribedinscheduleahereto;

purchaseordermeansapurchaseorderorotherdocumentissuedcustomertosupplierinaccordancewiththetermsofthisagreement,specifyingtheproductstobepurchased,thequantityofsuchproductsandtheagreedpriceforsuchproducts;

termsofpaymentmeansthetermsofpaymentsetforthinschedulebhereto;

deliverydatemeansthedatespecifiedinthepurchaseorderwhichtheproductsshallbedeliveredtocustomer;

deliverylocationmeansthelocationspecifiedinthepurchaseorderforthedeliveryoftheproducts;

intellectualpropertyrightsmeansallrights,sandinterestsinandtoallpatents,copyrights,tradesecrets,trademarksandotherintellectualpropertyrightsofwhatevernature,whetherregisteredorunregistered,includingapplicationsforregistrationandallrightstosueforpast,presentandfutureinfringementsthereof;

forcemajeureeventmeansanyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofgod,labordisputes,civilunrest,floods,fires,explosions,terroristactsorwar;

governinglawmeansthelawsofthepeoplesrepublicofch
