a.supplieriswillingtosell,andpurchaseriswillingtobuy,thegoodsdescribedinscheduleaattachedhereto(thegoods)onthetermsandconditionssetforthinthisagreement;and

b.thepartiesintendtobelegallyboundthetermsandconditionssetforthinthisagreement.

now,therefore,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:

article1goods

1.1.thesupplieragreestosell,andthepurchaseragreestobuy,thegoodsinaccordancewiththespecificationssetforthinscheduleaattachedhereto.

1.2.thesupplierrepresentsandwarrantsthatthegoodsconformtothespecificationssetforthinscheduleaandarefreefromanyliensandencumbrances.

1.3.thesuppliershallprovidethepurchaserwithsuchtechnicalassistanceandinformationasmaybenecessaryfortheproperoperationandmaintenanceofthegoods.

2.1.thepurchasepriceforthegoodsshallbeassetforthinschedulea.

2.2.thepurchasershallmakepaymentforthegoodswiretransfertothesuppliersdesignatedaccount,inaccordancewiththetermssetforthinschedulea.

2.3.thesuppliershallissueaninvoicetothepurchaserinaccordancewiththetermssetforthinschedulea.

3.1.thesuppliershalldeliverthegoodstothepurchasersdesignatedlocation,inaccordancewiththetermssetforthinschedulea.

3.2.thesuppliershallberesponsibleforallcostsandexpensesassociatedwiththedeliveryofthegoods,includinginsurance,shippingandhandlingcharges,unlessotherwiseagreedthepartiesinwriting.

3.3.thepurchasershallberesponsibleforallcostsandexpensesassociatedwiththeunloading,installationandoperationofthegoods,unlessotherwiseagreedthepartiesinwriting.

article4inspectionandacceptance

4.1.upondeliveryofthegoods,thepurchasershallhavetherighttoinspectandtestthegoodstoconfirmtheirconformitywiththespecificationssetforthinschedulea.

4.2.ifthegoodsdonotconformtothespecificationssetforthinschedulea,thepurchasershallnotifythesupplierinwritingwithin__________(numberofdays)afterdelivery.thesuppliershall,atitssolediscretion,eitherreplacethenon-conforminggoodsorrefundthepurchasep
