ThisImportContractismadeandenteredintoon(date)between(Buyer),locatedat(address),and(Seller),locatedat(address).Bothpartiesagreetothefollowingtermsandconditions:
1.GoodsandQuantity:TheSelleragreestosell,andtheBuyeragreestopurchase,thefollowinggoods:
-Descriptionofgoods:(providedetaileddescriptionofthegoods)
-Quantity:(specifythequantityofgoodstobedelivered)
-Quality:Thegoodsmustmeetthequalitystandardsagreeduponbybothparties.
2.PriceandPayment:Thetotalpriceforthegoodsis(amountincurrency).Thepaymentshallbemadein(currency)andmustbepaidin(methodofpayment)totheSellersdesignatedbankaccount.Thepaymentscheduleisasfollows:
-(percentage)%ofthetotalamountuponsigningofthiscontract.
-(percentage)%ofthetotalamountuponshipmentofgoods.
-(percentage)%ofthetotalamountuponreceiptofgoodsbytheBuyer.
3.Delivery:TheSelleragreestodeliverthegoodstotheBuyersdesignatedlocationat(address)onorbefore(deliverydate).TheSellershallberesponsibleforarrangingandpayingfortheshippingandinsuranceofthegoods.
4.InspectionandAcceptance:TheBuyerreservestherighttoinspectthegoodsuponreceipt.TheBuyermustnotifytheSellerwithin(number)daysofanydefectsordiscrepanciesfoundinthegoods.IfthegoodsarenotacceptabletotheBuyer,theSellermustreplacethegoodsattheirexpense.
5.RiskofLoss:TheriskoflossordamagetothegoodsshallpassfromtheSellertotheBuyerupondeliveryofthegoodstotheBuyersdesignatedlocation.
6.ForceMajeure:NeitherpartyshallbeliableforanydelayorfailureinperformanceofthisContractifsuchdelayorfailureisduetocircumstancesbeyondtheircontrol,suchasactsofGod,naturaldisasters,war,orgovernmentregulations.
