1.1theselleragreestosell,andthebuyeragreestobuythevehicledescribedinExhibitaattachedhereto(thevehicle),onthetermsandconditionssetforthinthisagreement.

2.1thepurchasepriceforthevehicleshallbeusd__________(thepurchaseprice).

2.2thebuyershallpaythepurchasepricetothesellerinaccordancewiththepaymenttermssetforthinExhibitbattachedhereto.

article3:deliveryofvehicle

3.1thesellershalldeliverthevehicletothebuyerat__________(thedeliverylocation)onorbefore__________(thedeliverydate).

3.2thebuyershallacceptdeliveryofthevehicleatthedeliverylocationonthedeliverydate.

article4:warranties

4.1thesellerrepresentsandwarrantstothebuyerthat:

(a)theselleristhesoleownerofthevehicleandhasgoodandmarketabletothevehicle,freeandclearofanyliensorencumbrances;

(b)thevehicleisingoodoperatingconditionandrepair,freefromanydefectsinmaterialsandworkmanship;

(c)thevehicleconformstoallapplicablefederal,stateandlocallaws,regulationsandstandards,including,withoutlimitation,thoserelatedtoemissions,safetyandfueleconomy;and

(d)thesellerhasprovidedthebuyerwithallrequireddocumentation,including,withoutlimitation,themanufacturerswarranty,ownersmanual,servicerecordsanddocuments.

4.2exceptasexpresslyprovidedinthisagreement,thevehicleissoldasis,andthesellerdisclaimsanyandallotherwarranties,expressorimplied,including,withoutlimit
