PREAMBLE

Theparties,recognizingtheneedforaninvestmentvehiclethatoffersdiversifiedinvestmentopportunitieswithafocusoncapitalappreciationand/orincome,agreetoestablishthisFundforthepurposeofinvestinginsecuritiesandotherassets,asdefinedintheContract.

TERMSANDCONDITIONS

Article1:Definitions

UnlessotherwisedefinedinthisContract,termsusedinthisContractshallhavethemeaningssetoutinthisArticle.

Article2:FormationoftheFund

TheFundshallbeestablishedasapooledinvestmentvehicleforthepurposeofinvestinginsecuritiesandotherassets.

Article3:InvestmentObjectiveandPolicies

TheinvestmentobjectiveoftheFundistoseekcapitalappreciationand/orincome.TheinvestmentpoliciesoftheFundshallbespecifiedinthisArticle.

Article4:InvestmentManagement

TheFundshallbemanagedby[PartyAName]oritsdesignatedinvestmentmanager.TheinvestmentmanagershallhavetheexclusiverighttomanagetheFundsassetsinaccordancewiththeinvestmentpoliciessetoutinthisContract.

Article5:SubscriptionandRedemption

Subscriptionsandredemptionsofunits/sharesintheFundshallbesubjecttotheconditionsspecifiedinthisArticle,includingsubscriptionperiod,redemptionperiod,andpricingmechanisms.

Article6:RightsandObligationsoftheParties

ThisArticleshallsetouttherespectiverightsandobligationsof[PartyAName]and[PartyBName]underthisContract.

Article7:GovernanceandManagement

ThegovernanceandmanagementstructureoftheFundshallbeestablishedinthisArticle,includingthecompositionoftheBoardofDirectors,committeestructures,anddecision-makingprocedures.

TheFundshallimplementriskmanagementmeasurestoensurethatinvestmentsarema
