鉴于甲方拥有并经营一定的电力generating,transmitting,anddistributingfacilities(以下简称“Facilities”)andiswillingtosellelectricity(以下简称“Electricity”)to乙方；

乙方愿意购买甲方所生产的电力，双方达成一致，特此签订本合同。

1.1本合同中的“Facilities”referstoallthepowergenerating,transmitting,anddistributingfacilitiesownedandoperatedby甲方.

1.2本合同中的“Electricity”referstotheelectricpowerproducedby甲方andsoldto乙方.

1.3本合同中的“BusinessDay”referstoanydayotherthanSaturday,Sunday,oranypublicholidayintheterritoryof甲方.

1.4本合同中的“ForceMajeure”referstoanyunforeseeableanduncontrollableeventsthatpreventeitherpartyfromfulfillingitsobligationsunderthisContract.

第二条电力转让

2.1甲方agreestosellanddelivertheElectricityto乙方,and乙方agreestopurchaseandaccepttheElectricityfrom甲方,inaccordancewiththetermsandconditionssetforthinthisContract.

2.2Thequantity,quality,anddeliverypointoftheElectricityshallbeasspecifiedintheAttachmenthereto,whichformsanintegralpartofthisContract.

2.3甲方shalluseitsbesteffortstoensurethattheElectricitysuppliedunderthisContractmeetsthestandardsofqualityandquantityasspecifiedintheAttachment.

2.4乙方shallpayfortheElectricityinaccordancewiththepaymenttermssetforthinthisContract.

第三条价格和支付

3.1ThepriceoftheElectricityshallbeasspecifiedintheAttachmenthereto.

3.2乙方shallmakepaymentfortheElectricityinthemannerandwithinthetimeframespecifiedinthisContract.

第四条违约和赔偿

4.1IfeitherpartyfailstofulfillitsobligationsunderthisContract,theotherpartymaysufferlosses.Thedefaultingpartyshallbeliableforcompensatingtheotherpartyforthelossesincurred.

4.2IntheeventofForceMajeure,theaffectedpartyshallpromptlynotifytheotherpartyinwriting,andtakenecessarymeasurestomitigatetheimpactoftheForceMajeure.
