SALESCONTRACT
ThisSalesContract(hereinafterreferredtoastheContract)ismadeandexecutedon[insertdate]byandbetween[SellerName](hereinafterreferredtoastheSeller),and[BuyerName](hereinafterreferredtoastheBuyer).
PREAMBLE:
Uponmutualunderstandingandequalnegotiation,theSelleragreestosellandtheBuyeragreestopurchasetheproductsspecifiedinthisContract,followingthetermsandconditionsstipulatedbelow.
1.PRODUCTSANDSPECIFICATIONS:
TheSellershallselltotheBuyerthefollowingproducts:[specificproducts](hereinafterreferredtoastheProducts).Thespecifications,quality,quantity,andotherrelateddetailsoftheProductsshallbeaspertheattachedscheduleoraspertheinstructionsandstandardsagreeduponbybothparties.
2.PRICEANDPAYMENT:
ThepriceoftheProductsshallbeaspertheagreedpricelistattachedtothisContract.Thepaymenttermsshallbeasfollows:[insertpaymentterms,e.g.,30%advance,balanceagainstdelivery,etc.]
3.DELIVERYANDQUALITY:
TheSellershallensuretimelydeliveryoftheProductsattheplacespecifiedbytheBuyer.ThequalityoftheProductsshallbeinaccordancewiththestandardsagreeduponbybothparties.AnydiscrepanciesinqualityshallbereportedimmediatelytotheSellerwhoshalltakenecessaryactionaspertheagreedterms.
4.PACKAGINGANDMARKING:
TheProductsshallbeproperlypackagedandmarkedaspertheinstructionsandstandardsagreeduponbybothparties.TheSellershallbearallcostsrelatedtopackagingandmarkingunlessotherwiseagreedinwriting.
5.RISKANDOWNERSHIPTRANSFER:
RiskoflossordamagetotheProductsshallpasstotheBuyerupondeliverytotheplacespecifiedbytheBuyer.OwnershipoftheProductsshallbetransferredtotheBuyeruponfullpaymentbytheBuyer.
6.WARRANTIESANDGUARANTEES:
