PURCHASEAGREEMENT

ThisPurchaseAgreementismadebetweenABCCompanyLimited(hereinafterreferredtoasBuyer)andXYZTradingCorporation(hereinafterreferredtoasSeller).

1.AGREEMENTTERMS

1.1ThisAgreementshallbeeffectivefromthedateofsigningbybothpartiesandshallcontinueuntilallobligationsunderthisAgreementhavebeenfulfilled.

1.2ThepartiesheretoagreetopurchaseandsellthegoodsspecifiedinthisAgreementonthetermsandconditionssetforthbelow.

2.GOODSDESCRIPTION

2.1TheBuyershallpurchasefromtheSellerthefollowinggoods:(a)ElectronicComponents;(b)MachineryParts;(c)ChemicalProducts.

2.2TheSellershallprovideadetailedlistofthegoodstobepurchased,includingpartnumbers,descriptions,quantities,andprices,aswellasanyotherrelevantinformation.

3.PRICEANDTERMSOFPAYMENT

3.1ThetotalpurchasepriceforthegoodsspecifiedinthisAgreementshallbepaidbytheBuyertotheSellerinfullupondeliveryofthegoodsandacceptancebytheBuyer.

3.2ThepaymentshallbemadebywiretransfertotheSellersdesignatedbankaccount.AllbankingchargesincurredintheprocessofpaymentshallbebornebytheBuyer.

4.SHIPMENTTERMS

4.1TheSellershallarrangefortheshipmentofthegoodstotheBuyersdesignatedlocation.AllshippingcostsshallbebornebytheSeller.

4.2TheBuyershallprovidetheSellerwithallnecessaryinformationregardingthedesignatedlocation,includingaddress,contactinformation,andanyotherrelevantdetails.

5.PACKINGANDMARKING

5.1TheSellershallpackthegoodsinamannerthatensurestheirsafetransportationtothedestination.Allpackagingmaterialsshallbeenvironmentallyfriendlyandreusable.

5.2TheSellershallmarkthegoodsclearlywithpartnumbers,descriptions,quantities,andanyotherrelevantinformation.Themarkingshallbepermanentandlegible.
