Preamble

TheUnitedNationsCommissiononInternationalTradeLaw,intheexerciseofitsfunctions,hasadoptedthefollowingConventiononContractsfortheInternationalSaleofGoodstoprovideauniformbasisforthelawsapplicabletosuchcontractsandtherebycontributetothesimplificationandharmonizationofinternationaltradeprocedures.

第一章适用范围和定义

Article1Scopeofapplication

1.ThisConventionappliestocontractsofsaleofgoodsbetweenpartieswhoseplacesofbusinessareindifferentStates:

(a)whentheStatesareContractingParties;or

(b)whenthepartieshaveagreedthatthecontractisgovernedbythisConvention.

2.TheConventionisnotapplicableto:

(a)contractsforthepurchaseandsaleofships,aircraftorrailwaylocomotivesandthelike;

(b)contractsforthehireorleaseofships,aircraftorrailwaylocomotivesandthelike;

(c)contractsforthepurchaseandsaleofshares,stockorothersecurities;

(d)contractsforthepurchaseandsaleofintangiblepersonalproperty,suchastrademarks,patents,copyrights,licensesandthelike;

(e)contractsforthepurchaseandsaleofpropertyotherthangoods;or

(f)contractsinwhichonepartyisboundtorenderservicestoanotherpartyinaccordancewiththeircontract.

Article2Definitions

ForthepurposesofthisConvention:

(a)“ContractingParty”meansaStatewhichhasratified,accepted,approvedoraccommodatedthisConvention;

(b)“goods”meansallmovablepropertyotherthanmoney;

(c)“seller”meansapartywhoconcludesacontractofsaleofgoods;

(d)“buyer”meansapartywhoconcludesacontractofsaleofgoods;and

(e)“State”meansanyStatewhichisaContractingPartytothisConvention.
