RiskInvestmentAgreement

Introduction

ThisRiskInvestmentAgreement(theAgreement)isenteredintobyandbetweentheInvestor(asdefinedbelow)andtheCompany(asdefinedbelow)onthetermsandconditionssetforthbelow.TheInvestorandtheCompanyarecollectivelyreferredtoasthePartiesandindividuallyasaParty.

Definitions

1.Companymeansthelegalentitywhichisthesubjectofthisinvestment,includinganyandallsubsidiaries,divisions,andotherentitiescontrolledbysuchlegalentity.

2.InvestormeanstheindividualorentityinvestingintheCompany,eitherdirectlyorindirectly,throughanyofitssubsidiaries,divisions,orotherentities.

3.RiskInvestmentmeanstheinvestmentmadebytheInvestorintheCompany,whichmayincludeequity,debt,orotherformsofinvestment,asagreeduponbytheParties.

4.TermmeansthedurationoftheRiskInvestment,whichshallbespecifiedintheAgreement.

5.ExitEventmeansanyeventwhichresultsintheInvestorsinvestmentbeingreturnedtoit,eitherthroughasaleoftheCompanyoritsassets,amergerorconsolidationoftheCompany,areorganizationorothersimilarevent.

Investment

1.TheInvestorshallmakeitsRiskInvestmentintheCompanyintheformofequity,debt,orotheragreed-uponinvestmentvehicle,onthetermsandconditionssetforthinthisAgreement.

2.TheamountoftheRiskInvestmentshallbespecifiedintheAgreement,aswellasanypreferredstockorotherequityintereststobeissuedtotheInvestorinconnectionwiththeRiskInvestment.

3.TheInvestorshallhavetherighttoappointone(1)directortotheCompanysboardofdirectors,subjecttotheapprovaloftheCompanysshareholders.

4.TheInvestorshallalsohavetherighttoreceiveregularreportsandupdatesfromtheCompanyregardingitsoperations,financialcondition,andothermaterialinformation.
