ExclusiveDistributionAgreement
1.DefinitionsandInterpretation
1.1.Definitions:ForthepurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:
*Products:TheproductslistedinAnnexA,whichshallincludeanysubsequentmodificationsorupgradestosuchproducts.
*Territory:TheterritoriesspecifiedinAnnexA,whichshallincludeanysubsequentadditionsorexpansionstosuchterritories.
*ExclusiveRights:TheexclusiverightstodistributetheProductsintheTerritory,assetforthinAnnexA.
*Non-CompetingProducts:ProductsthatarenotpartoftheProductsandthatarenotmanufacturedordistributedbyPartyAoritsaffiliates.
*Affiliates:Anycorporation,company,partnership,jointventure,association,orotherentitythatcontrols,iscontrolledby,orisundercommoncontrolwithapartytothisAgreement.
1.2.Interpretation:ThisAgreementshallbeinterpretedinaccordancewiththelawsof[JurisdictionA]and[JurisdictionB],asapplicable.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttothejurisdictionofthecourtsof[JurisdictionA]and[JurisdictionB].
2.ScopeofAgreement
2.1.ExclusiveRights:PartyAherebygrantstoPartyBanexclusiverighttodistributetheProductsintheTerritoryforthedurationofthisAgreement.PartyBshallhavetheexclusiverighttoengageinallactivitiesrelatedtothedistributionoftheProductsintheTerritory,includingbutnotlimitedtosales,marketing,andpromotion.
2.2.Non-CompetingProducts:PartyBshallnotdistributeanyNon-CompetingProductsintheTerritorywithoutthepriorwrittenconsentofPartyA.
2.3.Duration:ThisAgreementshallcommenceon[CommencementDate]andshallcontinueuntilterminatedinaccordancewithitsterms.
3.PartyAsObligations
3.1.SupplyofProducts:PartyAshallsupplyPartyBwiththeProductsina
