Recitals:

Article1:DefinitionsandInterpretation

1.ConfidentialInformation:shallmeananyandallinformation,whetheroralorinwriting,whichisdesignatedasconfidentialorproprietary,orwhichreasonablyshouldbeconsideredconfidentialorproprietary,includingbutnotlimitedto,tradesecrets,know-how,confidentialbusinessplans,financialinformation,technicaldata,productformulas,customerlists,supplierinformation,employeeinformation,andanyotherinformationthatisnotgenerallyknowntothepublic.

2.Disclosure:shallmeantheactofprovidingormakingavailableConfidentialInformationtoathirdparty.

3.ReceiveParty:shallmeanthepartythatreceivesConfidentialInformationfromanotherpartyunderthisNDA.

4.DiscloseParty:shallmeanthepartythatdisclosesConfidentialInformationtoanotherpartyunderthisNDA.

5.Use:shallmeananyandalluseofConfidentialInformation,includingbutnotlimitedto,copying,reproducing,transmitting,showing,disclosing,andotherwiseexploitingthesame.

6.DerivativeWorks:shallmeananyandallworkscreatedbymodifying,adapting,enhancing,orcombiningConfidentialInformationwithotherinformationortechnology.

7.PubliclyDisclose:shallmeantodiscloseConfidentialInformationtoathirdpartysuchthattheinformationbecomesavailabletothepublicorasubstantialportionofthepublic.
