I.INTRODUCTION
ThisCorporatePartnershipAgreement(theAgreement)ismadeandenteredintobyandbetweenthefollowingparties:
1.ABCCorporation(hereinafterreferredtoasABC),acorporationorganizedandexistingunderthelawsoftheUnitedStatesofAmerica,withitsprincipalplaceofbusinesslocatedat123MainStreet,Anytown,USA.
2.XYZPartnership(hereinafterreferredtoasXYZ),apartnershiporganizedandexistingunderthelawsoftheUnitedKingdom,withitsprincipalplaceofbusinesslocatedat456HighStreet,AnotherTown,UK.
II.PURPOSE
ThepurposeofthisAgreementistoestablishalong-term,strategicpartnershipbetweenABCandXYZ,toenablethemtojointlypursuebusinessopportunitiesandachievetheirrespectivebusinessobjectives.
III.SCOPEOFPARTNERSHIP
1.BusinessCooperation:ABCandXYZshallcooperateinthefollowingareas:
*Marketingandsales:ABCshallprovideitsmarketingandsalesexpertisetopromotetheproductsandservicesofXYZintheUnitedStatesmarket.XYZshallprovideitsmarketingandsalesexpertisetopromotetheproductsandservicesofABCintheUnitedKingdommarket.
*Technologyandinnovation:ABCandXYZshallsharetheirrespectivetechnologicaladvancementsandinnovationstoenhancetheproductsandservicesofferedtotheircustomers.
*Humanresources:ABCandXYZshallexchangetheirrespectivehumanresourcesexpertisetoimprovetheperformanceoftheirrespectiveworkforces.
2.JointVentures:ABCandXYZmayjointlypursuebusinessopportunitiesthroughtheformationofjointventuresorotherformsofstrategicpartnerships.
3.ExcludedActivities:Thefollowingactivitiesareexcludedfromthescopeofthispartnership:
*Anyactivitythatisillegalorprohibitedbyapplicablelaw.
*Anyactivitythatisnotrelatedtothebusinessobjectivesofeitherparty.
