MusicUsageLicenseAgreement

ThisMusicUsageLicenseAgreement(theAgreement)isenteredintobyandbetween[YourNameorCompanyName](Licensee)and[NameofMusicOwnerorRepresentative](Licensor).TheAgreementsetsforththetermsandconditionsfortheuseofcertainmusicworks(theMusic)byLicensee,asdetailedbelow.

1.GrantofLicense

LicensorherebygrantstoLicenseeanon-exclusive,non-transferable,revocablelicensetousetheMusicforthepurposesspecifiedbelow,subjecttothetermsandconditionsofthisAgreement.

2.ScopeofLicense

TheMusicmaybeusedbyLicenseeinthefollowingways:

*Forpromotionalandadvertisingpurposes,includinginprint,digital,andaudio-visualmedia;

*Forcommercialandnon-commercialevents,includingconcerts,festivals,andotherliveperformances;

*Forbroadcastingandstreamingservices,includingradio,television,andonlineplatforms;

*ForanyotherlawfulpurposesrelatedtotheMusic,asagreeduponbytheparties.

3.RestrictionsonUse

Licenseeshallnot:

*UsetheMusicinanywaythatviolatesthecopyrightoranyotherintellectualpropertyrightsofLicensor;

*Modify,adapt,orcreatederivativeworksbasedontheMusicwithoutthepriorwrittenconsentofLicensor;

*Sublicense,assign,orotherwisetransferthelicensegrantedtoLicenseebyLicensor;

*UsetheMusicinanymannerthatisobscene,vulgar,defamatory,orotherwiseharmfultoLicensorsreputationorinterests.

4.TermofLicense

Thetermofthislicenseshallbeforaperiodof[NumberofYears]yearsfromthedateofthisAgreement,unlessearlierterminatedinaccordancewithitsterms.

5.Royalty-FreeLicense

LicenseeshallpaynoroyaltiesorotherfeestoLicensorfortheuseoftheMusicunderthislicense,providedthatLicenseecomplieswithallothertermsandconditionsofthisAgreement.
