4.Shipping
Thesellershallbearallcostsandrisksassociatedwithshippingthegoodstothebuyer.Thebuyershallbearallcostsandrisksassociatedwithshippingthegoodsfromtheseller.
5.Warranty
Thesellerwarrantsthatthegoodsareofmerchantablequalityandarefitforthepurposeforwhichtheyareintended.Thesellershallreplaceorrefundanydefectivegoodsthatarenotinaccordancewiththewarranty.
6.ForceMajeure
Neitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthiscontractifsuchfailureisduetocircumstancesbeyonditsreasonablecontrol.Suchcircumstancesshallinclude,butnotbelimitedto,war,strike,lockout,fire,flood,drought,orothernaturaldisaster.
7.Termination
Thiscontractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyifthereisabreachofcontractbytheotherpartyandsuchbreachcannotberemedied.
8.DisputeResolution
Anydisputesarisingoutofthiscontractshallberesolvedbyarbitrationin[Arbitrationlocation]inaccordancewiththerulesof[Arbitrationrules].Thearbitrationawardshallbefinalandbindingonbothparties.
