3.CONTRACTINGTERMS
3.1.ThecontractshallbeconcludedinwritinginChineseorEnglish.
3.2.Thecontractshallbesignedbytheauthorizedrepresentativesofbothparties,withthesignaturesbeingauthenticatedbynotary.
3.3.Anyamendmentsorsupplementstothecontractshallalsobeinwritingandsignedbybothparties.
3.4.Thecontractshallcomeintoforceuponbeingsignedbybothpartiesandshallremaininforceuntilallobligationsunderthecontracthavebeenfulfilled.
4.OBLIGATIONSOFPARTYA
4.1.PartyAshallensurethatthegoodsareinaccordancewiththequalityandquantitystipulatedinthecontract,andshallbedeliveredtoPartyBwithintheagreedtimelimit.
4.2.PartyAshallprovidenecessaryafter-salesserviceforthegoods,includingbutnotlimitedtoprovidingtechnicalsupportandreplacingdefectiveproducts.
4.3.PartyAshallensurethatthegoodsarefreefromanyintellectualpropertydisputesorotherlegaldisputesthatmayaffectPartyBsuseofthegoods.
5.OBLIGATIONSOFPARTYB
5.1.PartyBshallensurethatallpaymentsunderthecontractaremadeinfullandontime,andshallberesponsibleforanylatepaymentpenaltiesincurred.
5.2.PartyBshallprovideaccurateandcompleteinformationaboutitsbusiness资质andcreditstanding,andshallberesponsibleforanylossesincurredduetofalseorincompleteinformation.
