ConfidentialityAgreement
ThisConfidentialityAgreementismadeandenteredintobetweentwoparties,namely[PartyA],representedby[NameofRepresentative],and[PartyB],representedby[NameofRepresentative].ThepartiesarecollectivelyreferredtoasthePartiesandindividuallyastheParty.
1.DefinitionsandInterpretation
1.1.Definitions:ForthepurposeofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:
*ConfidentialInformationshallmeananyandallinformation,data,ideas,concepts,know-how,techniques,processes,designs,specifications,inventions,drawings,blueprints,reports,analyses,protocols,masks,formulas,techniques,software,documentation,studies,marketingplans,customerlists,andotherbusinessortechnicalinformationthatisdisclosedbyonePartytotheotherPartyandthatisdesignatedasconfidentialorthatreasonablyshouldbeconsideredconfidential.
*DisclosureshallmeananyandalldisclosuresofConfidentialInformation,whetheroral,written,electronic,orotherwise.
*UseshallmeananyandalluseofConfidentialInformation,includingbutnotlimitedtoreproduction,distribution,disclosure,andpublication.
1.2.Interpretation:ThisAgreementshallbeinterpretedinaccordancewiththelawsof[Jurisdiction].Anytermorphrasenotdefinedhereinshallhavethemeaningassignedtoitbyapplicablelaw.
2.ScopeofConfidentialityObligation
2.1.ConfidentialInformation:PartyAandPartyBacknowledgethatConfidentialInformationwillbedisclosedduringthecourseoftheirrelationship.PartyAandPartyBagreethateachshallholdinstrictconfidenceallConfidentialInformationdisclosedtoitbytheotherParty.
2.2.Exceptions:Theobligationtoprotectconfidentialityshallnotapplytoinformationthat:
*isorbecomespartofthepublicdomainthroughnofaultofthereceivingParty;
