ConfidentialityAgreement

Thisagreementismadebyandbetween[CompanyName]and[EmployeeName]datedasof[EffectiveDate].

Recitals

ScopeofConfidentialInformation

ThetermconfidentialinformationasusedinthisAgreementshallmeananyandallinformationthatisconfidentialandproprietarytotheCompany,whethersuchinformationisdisclosedorallyorinwriting,andwhetherornotitismarkedasconfidential.Suchconfidentialinformationshallinclude,butnotbelimitedto,tradesecrets,businessplans,customerlists,supplierlists,andotherconfidentialinformation.

EmployeesObligations

TheEmployeeacknowledgesthatthedisclosureofconfidentialinformationbytheEmployeetoanythirdpartywouldcausesubstantialharmtotheCompanyandagreesthattheEmployeeshall:

1.Holdallconfidentialinformationinstrictconfidenceandnotdiscloseittoanythirdparty;

2.NotuseanyconfidentialinformationforanypurposeotherthantoperformtheEmployeesdutiestotheCompany;

3.ReturnallconfidentialinformationtotheCompanyupontheCompanysrequest;and

4.CooperatewiththeCompanyinmaintainingtheconfidentialityofsuchinformation.

Exceptions

TheobligationsoftheEmployeeunderthisAgreementshallnotapplytoanyinformationthat:

1.IsorbecomesgenerallyavailabletothepublicotherthanasaresultofdisclosurebytheEmployee;

2.WasknowntotheEmployeepriortothedateofthisAgreement;or

3.MustbedisclosedbytheEmployeepursuanttoacourtorderorotherlegalprocess.

TerminationofEmployment

UponterminationoftheemploymentrelationshipbetweentheCompanyandtheEmployee,theEmployeeshallimmediatelyreturntotheCompanyallconfidentialinformationintheEmployeespossessionorcontrol,includingallcopiesthereof.TheEmployeeagreesthatuponterminationofemployment,theEmployeeshallnotretaina
