ContractforImportandExport

Thiscontractismadebyandbetween[BuyerName],acompanyincorporatedunderthelawsof[BuyerCountry]withitsregisteredaddressat[BuyerAddress],and[SellerName],acompanyincorporatedunderthelawsof[SellerCountry]withitsregisteredaddressat[SellerAddress](hereinafterreferredtoastheBuyerandtheSellerrespectively).

1.ScopeofContract

1.1ThiscontractshallbeinterpretedbroadlytoincludealltransactionsrelatedtotheimportandexportofgoodsbetweentheBuyerandtheSeller.

1.2Thepartiesheretoagreethatthiscontractshallapplytoallfuturetransactionsunlessotherwiseagreedinwriting.

2.TermsandConditions

2.1Alltermsandconditionsapplicabletothiscontractaresetforthinthiswriting.Nooralorwrittenrepresentations,promises,oragreementsmadebyorbetweenthepartiesheretoshallbedeemedtomodifyorsupplementthetermsandconditionsofthiscontract,exceptasotherwiseexpresslyprovidedinthiswriting.

2.2Thetermsandconditionsofthiscontractshallprevailoveranyconflictingoradditionaltermsandconditionscontainedinanypurchaseorder,confirmation,orotherdocumentoftheBuyerortheSeller,unlessotherwiseagreedinwriting.

3.GoodstobeSoldandPurchased

3.1TheBuyeragreestopurchasefromtheSeller,andtheSelleragreestoselltotheBuyer,thefollowinggoods:[DescriptionofGoods]

3.2Thequantity,quality,specifications,andotherrelevantinformationofthegoodsshallbedeterminedinaccordancewiththetermsandconditionsofthiscontract.

4.PriceandPaymentTerms

4.1Thepriceforthegoodstobesoldandpurchasedhereundershallbe[Price]paidbytheBuyertotheSellerinfullconsiderationofthetransferofownershipofthegoodsfromtheSellertotheBuyer.
