ThisSupplementaryAgreementismadebetweenPartyAandPartyB,bothofwhomareoflegalageandhavefulllegalcapacity.Thepartieshereto,forthepurposeofclearlydefiningtherightsandobligationsofbothpartiesandensuringthesmoothperformanceofthecontract,havevoluntarilyreachedthefollowingsupplementaryagreement:
1.DefinitionsandInterpretation
1.1.InthisSupplementaryAgreement,thefollowingtermsshallhavethefollowingmeanings:
(a)PartyArefersto[InsertNameofPartyA],acompanyincorporatedin[InsertJurisdictionofPartyA]withitsregisteredaddressat[InsertAddressofPartyA].
(b)PartyBrefersto[InsertNameofPartyB],acompanyincorporatedin[InsertJurisdictionofPartyB]withitsregisteredaddressat[InsertAddressofPartyB].
(c)Contractreferstothe[InsertNameofContract]enteredintobyandbetweenPartyAandPartyBon[InsertDateofContract],whichistobeperformedbybothpartieshereto.
1.2.IntheeventofanyconflictorambiguitybetweentheprovisionsofthisSupplementaryAgreementandthoseoftheContract,thisSupplementaryAgreementshallprevailtotheextentofsuchconflictorambiguity.AllothertermsandconditionsoftheContractshallremaininfullforceandeffect.
2.ScopeofSupplementaryAgreement
2.1.ThisSupplementaryAgreementshallapplytoallmattersrelatedtotheperformanceoftheContract,includingbutnotlimitedtotherightsandobligationsofbothparties,paymentterms,deliveryschedule,anddisputesresolution.
3.RightsandObligationsofPartyA
3.1.PartyAshallperformtheobligationsspecifiedintheContractinaccordancewiththeagreedtermsandconditions,andshallensurethatallworkcarriedoutbyitshallbedoneinaprofessionalandtimelymanner.
3.2.PartyAshallhavetherighttoreceivepaymentfromPartyBinaccordancewiththeagreedpaymenttermssetouti
