TheconfidentialityobligationssetforthinthisAgreementshallnotapplytoanyinformationdisclosedunderthefollowingcircumstances:(i)asrequiredbylaworregulation;(ii)inresponsetoavalidsubpoenaorotherlegalprocess;(iii)totheextentdisclosedingoodfaithtoanemployeeoragentofthereceivingPartyforpurposesoffacilitatingdisclosurebysuchemployeeoragent;or(iv)withthewrittenconsentofthedisclosingParty.

4.RETURNOFCONFIDENTIALINFORMATION

UponterminationorexpirationofthisAgreementoruponwrittenrequestofthedisclosingParty,thereceivingPartyshallpromptlyreturnallConfidentialInformationdisclosedtoitbythedisclosingParty,togetherwithallcopiesthereof.ThereceivingPartyshallcertifyinwritingthatallsuchConfidentialInformationhasbeenreturnedordestroyed.

5.REMEDIES

6.TERMANDTERMINATION

ThisAgreementshallbecomeeffectiveuponexecutionbybothPartiesandshallcontinueineffectuntilterminatedinaccordancewiththetermshereof.EitherPartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherParty.TheprovisionsofthisAgreementrelatingtoconfidentialityobligationsandthereturnofConfidentialInformationshallsurviveanyterminationorexpirationofthisAgreement.
