Inconsiderationofthemutualpromisesandagreementssetoutbelow,thepartiesherebyagreeasfollows:
1.AppointmentofLegalCounsel:TheClientherebyappointstheLegalCounselasitsannuallegaladvisor,andtheLegalCounselagreestoserveassuchadvisor.
2.ScopeofServices:TheLegalCounselshallprovidethefollowinglegalservicestotheClient:
a.Adviseonlegalmattersandprovidelegalopinions.
b.Draft,review,andreviselegaldocumentsandagreements.
c.Assistinnegotiationandmediationoflegaldisputes.
d.Provideupdatesonrelevantlegaldevelopmentsandchangesinlaw.
e.Provideguidanceoncompliancewithlawsandregulations.
f.PerformotherlegaltasksasrequestedbytheClient.
3.TermofContract:Thiscontractshallbeeffectivefromthedateofsigningandshallcontinueforaperiodof[InsertDuration]unlessterminatedearlierbyeitherpartygivingwrittennoticetotheother.
4.FeesandPayment:TheClientshallpaytheLegalCounselthefollowingfeesfortheservicesrendered:
a.Anannualretainerfeeof[InsertAmount]payableinadvanceatthestartofthecontractterm.
b.Additionalfeesforservicesbeyondthescopeofthiscontractorforextrawork,whichshallbeagreeduponinwriting.
c.Allfeesshallbepaidwithin[InsertPaymentDays]afterreceivinganinvoicefromtheLegalCounsel.
5.Confidentiality:TheLegalCounselshallmaintaintheconfidentialityofallinformationreceivedfromtheClient,exceptwhenrequiredbylaworcourtorder.
6.Representation:TheLegalCounselshallrepresenttheClientinalllegalmatters,andshallstrivetoprotecttheClient’sinterestsandrights.
7.CompliancewithLaws:TheLegalCounselshallensurethatallservicesprovidedar
