1.DefinitionsandInterpretation
InthisAgreement,thefollowingtermsshallhavethemeaningsspecifiedbelow:
ContractNo.meansthecontractnumberassignedtothecontractbetweentheSellerandtheBuyer.
DelayinDeliverymeansthesituationwheretheSellerfailstomakedeliveryofthegoodstotheBuyerontheagreeddeliverydate.
ForceMajeuremeansanyeventorcircumstancewhichpreventseitherPartyfromperformingitsobligationsundertheContract,otherthanthedelayindeliverycausedbytheSeller.
GoodwillmeansthereputationandstandingofaPartyintheindustryorcommunity,whichisimportantforitsbusinessandrelationshipswithothers.
2.BackgroundandRecitals
TheSellerandtheBuyerhaveenteredintoacontractforthesaleofgoodswithContractNo.[ContractNo.].However,duetocertainreasons,theSellerhasexperiencedadelayindeliveringthegoodstotheBuyer.ThepurposeofthisAgreementistoaddressandresolvetheissueofthedelayindeliveryandtospecifytherightsandobligationsofthePartiesinrelationtosuchdelay.
3.ScopeofApplication
ThisAgreementshallapplytoallaspectsofthedelayindeliveryofthegoodsundertheContractNo.[ContractNo.].Itshallcoverthecausesofthedelay,theremediesavailabletotheParties,andanyotherrelatedissuesthatmayariseduringthecourseofresolvingthedelayindelivery.
4.CausesofDelay
Thecausesofthedelayindeliverymayinclude,butarenotlimitedto,thefollowing:
(a)TheSellersfailuretotimelyprocurethenecessaryrawmaterialsorcomponentsfortheproductionofthegoods.
(b)TheSellersinabilitytotimelyarrangefortransportationofthegoodsduetofactorssucha
