ContractAgreement

ThisContractismadeandenteredintobyandbetween[PartyAName],alegalentitydulyorganizedandexistingunderthelawsof[PartyACountry],and[PartyBName],alegalentitydulyorganizedandexistingunderthelawsof[PartyBCountry],hereinafterreferredtoastheParties.

1.ContractObjective

TheobjectiveofthisContractistoestablishalong-termbusinessrelationshipbetweenthePartiesforthepurposeofjointlydeveloping,manufacturing,andmarketingcertainproducts,whichshallbespecifiedintheAppendixtothisContract.

2.TermofContract

ThisContractshallbeeffectiveasofthedateofitsexecutionandshallcontinueinforceforaperiodof[ContractDuration].

3.JointDevelopmentandManufacturing

3.1ThePartiesshalljointlydevelopandmanufacturetheproductsspecifiedintheAppendixtothisContract,utilizingtheresourcesandexpertiseofeachParty.

3.2ThedevelopmentandmanufacturingprocessshallbesubjecttothequalityandperformancestandardsagreeduponbytheParties.

3.3[PartyA]shallberesponsibleforproviding[PartyB]withthenecessarytechnicalsupportandexpertisetoensurethesuccessfuldevelopmentandmanufactureoftheproducts.

4.MarketingandDistribution

4.1ThePartiesshalljointlymarketanddistributetheproductsdevelopedandmanufacturedunderthisContract,utilizingthemarketingchannelsandresourcesofeachParty.

4.2ThemarketinganddistributionstrategyshallbesubjecttotheapprovalofbothParties,andanychangestheretoshallbemadebymutualagreement.

5.RoyaltyandCommission

5.1[PartyA]shallpay[PartyB]aroyaltyoneachproductsoldthatisbasedontheagreed-uponpercentageofthesellingprice.ThespecificpercentageshallbespecifiedintheAppendixtothisContract.
