1.Introduction

ThisNON-CONTENTIOUSMATTERSCOMMISSIONAGREEMENT(the“Agreement”)ismadeandeffectiveasof[EffectiveDate]between[ClientName],acompanyincorporatedunderthelawsof[CountryofIncorporation],withitsregisteredofficeat[ClientAddress],and[AgentName],acompanyincorporatedunderthelawsof[AgentCountryofIncorporation],withitsregisteredofficeat[AgentAddress](eacha“Party”andcollectivelythe“Parties”).

2.TheAgreement

2.1ThisAgreementshallbeeffectiveupontheEffectiveDateandshallcontinueuntilterminatedinaccordancewithClause5hereof(the“Term”).

2.2ThePartiesherebyagreethattheAgentshallprovidetheServicestotheClientinrelationtothematterssetoutinClause3hereof,onthetermsandconditionscontainedinthisAgreement.

3.TheServices

3.1TheAgentshallprovidethefollowingservicestotheClient:

3.2TheAgentshallperformtheServiceswithreasonablecareandskillandinaccordancewithanyapplicableprofessionalstandards.

3.3TheAgentshallkeeptheClientfullyinformedofanysignificantdevelopmentsinrelationtotheServicesandshallpromptlyrespondtoanyreasonablerequestsforinformationfromtheClient.

4.TheFees

4.1TheClientshallpaytotheAgentthefollowingfees:
