InternetDomainNameTransferAgreement
ThisInternetDomainNameTransferAgreement(theAgreement)ismadeandenteredintobyandbetween[TransferorsName],representedby[TransferorsRepresentativeName],and[TransfereesName],representedby[TransfereesRepresentativeName],on[DateofAgreement].
1.Definitions
ForthepurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:
1.1.DomainNamemeans[DomainNametobetransferred].
1.2.Transferormeans[TransferorsName],thepartytransferringtheDomainName.
1.3.Transfereemeans[TransfereesName],thepartyreceivingthetransferoftheDomainName.
1.4.RegistrantmeansthecurrentregistrantoftheDomainName.
1.5.RegistrymeanstheInternetCorporationforAssignedNamesandNumbers(ICANN).
2.TransferofDomainName
2.1.TheTransferorherebyagreestotransfertheDomainNametotheTransferee,andtheTransfereeherebyagreestoacceptthetransferoftheDomainNamefromtheTransferor.
2.2.ThetransferoftheDomainNameshallbeeffectiveupontheearlierof:(i)thedateofpaymentbytheTransfereetotheTransferorofallamountsduefortheDomainName;and(ii)thedateofapprovalbytheRegistryofthetransferoftheDomainName.
3.PaymentTerms
3.1.TheTransfereeshallpaytotheTransferoranamountequalto[Transferorsdomainnamevalue]fortheDomainName.Suchamountshallbepaidin[CurrencyType]to[TransferorsRepresentativeName].
3.2.TheTransferorshallprovidetotheTransfereeareceiptforanypaymentmadeunderthisAgreement.
4.RepresentationsandWarranties
4.1.TheTransferorrepresentsandwarrantsthat:(i)itisthelawfulowneroftheDomainName;(ii)ithasthefullrightandauthoritytotransfertheDomainNametotheTransferee;and(iii)thetransferoftheDomainNametotheTransfereewillnotviolateanyapplicablelawsorregulatio
