PlasticMoldCustomizationContract

ThisPlasticMoldCustomizationContract(theContract)ismadeandenteredintobyandbetween[CompanyA],acompanyincorporatedunderthelawsof[CountryA],withitsregisteredaddressat[AddressA],and[CompanyB],acompanyincorporatedunderthelawsof[CountryB],withitsregisteredaddressat[AddressB](collectively,theParties).

1.DefinitionsandInterpretation

1.1.Definitions:Thefollowingterms,unlessotherwisedefinedinthisContract,shallhavethefollowingmeanings:

*Moldreferstotheplasticmoldtobecustomizedby[CompanyB]for[CompanyA].

*Workmanshipreferstothequalityofthemoldsmanufacturingprocess,includingbutnotlimitedtotheprecision,surfacefinish,andstructuralintegrityofthemold.

*Materialsrefertotherawmaterialsusedinthemanufacturingofthemold,includingbutnotlimitedtoplastic,metal,andotherrelatedmaterials.

*ToolsandEquipmentrefertothetoolsandequipmentusedinthemanufacturingofthemold,includingbutnotlimitedtomoldingmachines,cuttingtools,andmeasuringequipment.

*IPRightsrefertoanyandallintellectualpropertyrightsassociatedwiththemold,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

1.2.Interpretation:ThisContractshallbeinterpretedinaccordancewiththelawsof[CountryA]and[CountryB],asapplicable.AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttothejurisdictionofthecourtsof[CountryA]and[CountryB].

2.ObjectoftheContract

2.1.TheobjectofthisContractistoregulatetherelationshipbetweenthePartiesinconnectionwiththecustomizationofthemoldby[CompanyB]for[CompanyA].

3.PerformanceofParties
