PurchaseContract
Thispurchasecontractismadebetween:
[BuyersName],referredtoasPartyAhereinafter;and
[SellersName],referredtoasPartyBhereinafter.
WhereasPartyAdesirestopurchasefromPartyBthefollowinggoodsspecifiedintheSchedulehereto(hereinafterreferredtoastheGoods)andPartyBagreestosellthesametoPartyAinaccordancewiththetermsandconditionsstipulatedbelow:
1.GoodsDescriptionandQuantity
TheGoodswhichPartyAagreestopurchasefromPartyBarespecifiedintheSchedulehereto.ThequantityofeachitemoftheGoodsisalsospecifiedintheSchedulehereto.
2.PriceandPaymentTerms
2.1TheunitpriceandtotalpriceoftheGoodsarespecifiedintheSchedulehereto.TheunitpriceandtotalpriceoftheGoodsareexclusiveofanytaxes,duties,freightchargesorothercostswhichmaybepayablebyPartyAinconnectionwiththeimportationoftheGoodsinto[BuyersCountry]orotherwiseinconnectionwiththisContract.
2.2PartyAshallpayfortheGoodsinfullbeforetakingdeliverythereof.Paymentshallbemadeby[paymentmethod]toPartyBsaccountspecifiedintheSchedulehereto.
3.DeliveryandAcceptance
3.1TheGoodsshallbedeliveredto[BuyersAddress]onorbefore[deliverydate].Thedeliveryshallbemadeby[deliverymethod]specifiedintheSchedulehereto.TheriskoflossordamagetotheGoodsshallpasstoPartyAupondeliverythereof.
3.2PartyAshallinspecttheGoodsupondeliveryandshallgivenoticetoPartyBwithinseven(7)daysofanydefectsorshortagesintheGoods.
3.3TheGoodsshallbedeemedtobeacceptedbyPartyAunlessPartyAnotifiesPartyBofanydefectsorshortagesinwritingwithintheperiodspecifiedinclause3.2hereof.
4.WarrantyandRemedy
4.1PartyBwarrantsthattheGoodsareofmerchantablequalityandfreefromdefectsinmaterialandworkmanship.
